Businesses are built on hard work, and defined by law, contract and other paperwork. Businesses thus, come in many varieties.
Some, like mine are a sole proprietorship.
Others are partnerships. Legally there are many types of partnership, each with slightly different definitions and rules. Your partnership could be a standard partnership, a joint venture, or a limited liability partnership which is more like a corporation. Which protections do you want for your situation are up to you.
The other option is a corporation. Whether closely held by everyday people or an S&P 500 corporation, the proper formalities must be followed.

Your business is your economic lifeblood. What happens when a partner leaves or dies? What happens when your corporation is deadlocked and facing possible dissolution? The dissolution of a business whether it be a partnership or corporation is as stressful as a divorce, but the break need not be that severe if handled properly. The best way to handle business disputes is to cut them off before litigation so you can go back to doing business.
For whatever reason your partnership cannot continue. Maybe theft, maybe death of a partner that held everyone together.
Remember that all partnerships carry with them Fiduciary Duties which must be followed. Don't be caught unaware of your duties, or those that are owed to you by senior and/or managing partners.
If nothing short of litigation will help, then you should fight for your fair share of assets and customers so that you can get back to business rather than having your interests taken by your former partner(s). I have protected business partners from the predatory actions of former partners.
Sometimes there are circumstances where an outsider or even a board member or officer directly sues a corporation.
If a shareholder brings a lawsuit a lawsuit, they must file a derivative action to protect the interests of all shareholders. I have represented both sides in such matters.
Contracts define our rights and liabilities in business. Sometimes, with or without excuse your supplier fails to provide enough or adequate materials for you to process or sell. Sometimes your situation makes it difficult to perform your end of the bargain. With or without litigation these issues must be handled for business to continue. I have represented vendors and suppliers in this regard.
Life is not perfect. Remember that people both enrich and complicate our lives. This includes employees and independent contractors. Disputes with the Labor Board, the Employment Development Department or Employment Lawsuits take your time away from successfully running your business. These cases can often be settled with the proper facts or with some negotiation to protect your business as it moves forward without that person. I have protected businesses from false and exaggerated employment claims.
